![]() (ii) Middleware: YOU ACKNOWLEDGE AND AGREE THAT YOU SHALL NOT USE MIDDLEWARE UNLESS YOU HAVE LICENSED MDK-ARM PROFESSIONAL EDITION. Except as permitted by Clauses 1(ii) to 1(iv) below, you shall not redistribute any of the Software. Except as permitted by Clauses 1(ii) and 1(iv) below, you shall not modify any of the Software. (i) SOFTWARE: ARM hereby grants to you, subject to the terms and conditions of this Licence, a non-exclusive, non-transferable licence, only for the Seats, to (a) use the Software excluding the Middleware solely for the purposes of developing, testing, debugging, analysinsg and optimising software applications (“Software Applications”) and (b) use, copy and modify any or all of the Example Code and RTX as specimen Software Applications. The package includes (i) ARM Complier targeting ARM microprocessors, including compiler, assembler, linker and libraries (ii) KEIL uVision 4 integrated development environment (IDE) (iii) simulation models targeting standard microcontroller devices (iv) example application code identified in Section 1 of the Schedule (“Example Code”) (v) a real time operating system in source form (“RTX”) and (vi) Middleware. “Software” means any software, firmware and data accompanying this Licence, any printed, electronic or online documentation supplied with it, and any updates, upgrades, patches and modifications ARM may agree to make available to you under the terms of this Licencefor MDK-ARM. ![]() “Separate Files” means the separate files identified in Section 2 of the Schedule. “Seat” means a written or electronic authorization from ARM to use and run certain components or features of the Software, only in the quantities and for the time periods stated therein, and (if applicable) only with the target devices. “Middleware” means all of the following software components (a) RL-TCPnet (networking suite) in object code form (b) RL-USB (USB host and device) in object code form (c) RL-CAN (CAN interface) in source code form (d) RL-Flash (flash file system) in object code form and (e) GUI emWin in object code form for ARM7, ARM9, Cortex-M series, and Cortex-R4 processor-based devices only. “Licence Key” means an electronic numbered licence key issued to you by ARM to enable the use of the Software, or the built-in evaluation mode (“Evaluation Only”) that enables, the use of the Software. IF YOU DO NOT AGREE TO THE TERMS OF THIS LICENCE, ARM IS UNWILLING TO LICENSE THE SOFTWARE TO YOU AND YOU MAY NOT INSTALL, USE OR COPY THE SOFTWARE, AND YOU SHOULD PROMPTLY RETURN THE SOFTWARE TO YOUR SUPPLIER AND ASK FOR A REFUND OF ANY LICENCE FEE PAID (IF ANY). BY CLICKING “I AGREE” OR BY INSTALLING OR OTHERWISE USING OR COPYING THE SOFTWARE YOU INDICATE THAT YOU AGREE TO BE BOUND BY ALL OF THE TERMS OF THIS LICENCE. ARM IS ONLY WILLING TO LICENSE THE SOFTWARE TO YOU ON CONDITION THAT YOU ACCEPT ALL OF THE TERMS IN THIS LICENCE. THIS END USER LICENCE AGREEMENT (“LICENCE”) IS A LEGAL AGREEMENT BETWEEN YOU (EITHER A SINGLE INDIVIDUAL, OR SINGLE LEGAL ENTITY) AND ARM LIMITED ("ARM") FOR THE USE OF THE SOFTWARE ACCOMPANYING THIS LICENCE.
